Midcontract Partner Portal Terms of Service

1. Introduction

Welcome to the Midcontract Partner Portal ("Portal"), accessible at partner.midcontract.com. This Portal is operated by Midcontract OÜ ("Midcontract," "we," "us," "our"), a company registered in Estonia. These Partner Portal Terms of Service ("Partner Terms") govern your access to and use of the Portal and the Midcontract Partner Program.These Partner Terms incorporate by reference the Midcontract Terms of Service available at midcontract.com/terms. In the event of any conflict between these Partner Terms and the Midcontract Terms of Service, these Partner Terms shall prevail with respect to your use of the Portal and participation in the Partner Program.

2. Definitions

  • "Portal" means the Midcontract Partner Portal accessible at partner.midcontract.com
  • "Partner" means any individual or entity participating in the Midcontract Partner Program
  • "Referral" means any user who registers with Midcontract using your unique referral link
  • "Direct Referral" means a user directly referred by you
  • "Indirect Referral" means a user referred by your Direct Referral
  • "Earning Period" means the three-month period starting from the date a referred user activates their first contract
  • "Contract Activation" means the moment when a contract becomes active on the Midcontract platform
  • "Referral Link" means the unique URL assigned to you for tracking referrals

3. Eligibility and registration

3.1 Basic Requirements
To participate in the Partner Program, you must:
  • Be at least 18 years old
  • Not be subject to sanctions or restrictions from relevant authorities
3.2 Registration process
To participate in the Partner Program, you must:
  • Registration requires accepting these Partner Terms
  • You must provide accurate and current information
  • You are responsible for maintaining the security of your account credentials
  • Multiple accounts are not permitted

4. Partner program structure

4.1 Referral Tracking and Attribution
  • Each Partner receives a unique referral link for tracking purposes
  • Direct Referrals are users who register using your referral link
  • Indirect Referrals are users referred by your Direct Referrals
  • Referral relationships cannot be transferred or reassigned
  • Only one Partner can be credited for each referral
  • Midcontract reserves the right to determine final referral attribution in cases of dispute
  • Multiple active links not permitted
  • Links work across all platform domains:
    • Landing page
    • Main application
    • Partner portal
4.2 Earning Period and Calculations
  • The Earning Period is three months (90 days) from a referral's first contract activation
  • For Fixed Price contracts:
    • A contract must be activated within the Earning Period
    • Earnings are calculated upon contract completion
    • Completion may occur after the Earning Period ends
  • For Milestone and Hourly contracts:
    • Only payments made within the Earning Period are eligible
    • Payments after the Earning Period do not generate earnings
  • Partners cannot earn from:
    • Their own contracts (as client or contractor)
    • Contracts where they referred both parties
    • Contracts involving sanctioned individuals/entities
    • Contracts violating platform terms
4.3 Earnings Status and Claims
  • Calculation and Availability:
    • New earnings enter 7-day pending period
    • Become available for claim after pending period
    • Must be claimed within 90 days of calculation
    • Expire permanently if unclaimed after 90 days
    • Expired earnings cannot be reinstated
  • Claims Process:
    • Partners must initiate claims through Portal
    • Claims require verified KYC status
    • Minimum claim amount may apply

  • Maintain active referral base

  • Maintain consistent performance

5.2 Level Transitions and Maintenance

  • Turnover calculated on rolling 30-day basis
  • Evaluation occurs daily for upgrades
  • Monthly review for potential downgrades

  • Partner notified of status changes

5.2.2 Upgrades

  • Immediate upon reaching threshold
  • No waiting period for enhanced benefits
  • Commission rates adjust automatically
  • New bonus structure applies immediately
  • Access to new benefits granted within 24 hours

5.2.3 Downgrades

  • Evaluated at month end
  • Based on previous month's performance
  • Takes effect first day of next month
  • Current benefits maintained until transition

5.3 Performance Measurement

  • Includes all eligible contract values
  • Excludes cancelled contracts

6.4 Documentation Requirements

Partners must maintain records of:

All records must be:

  • Retained for 5 years
  • Available for audit
  • Properly secured
  • Accurately maintained
  • Promptly provided upon request

7. Intellectual property

  • You may not modify, distribute, or create derivative works

  • All materials must comply with Midcontract's brand guidelines

Midcontract maintains absolute discretion to:

  • Modify or terminate the Partner Program
  • Change commission rates and structures
  • Adjust level requirements and benefits
  • Update referral tracking methods
  • Change eligibility criteria
  • Add or remove program features
  • Modify terms and conditions
  • Change payment methods or processors
  • Implement new compliance requirements
8.2 Changes and Notice
  • Changes effective upon posting to Portal
  • Email notification for material changes
  • No prior notice is required for minor updates
  • Continued participation indicates acceptance
  • Partners may terminate if unwilling to accept changes
8.3 Impact of Changes
  • Earned commissions processed under original terms
  • Active earning periods complete under the original terms
  • Level benefits may change immediately
  • Pending claims subject to new requirements
  • No compensation for the impact of changes

9. Term and termination

9.1 Term

Agreement remains effective until terminated by either party or program discontinuation.

9.2 Termination Rights

Midcontract may terminate participation:

  • For Terms violations
  • For inactivity exceeding 6 months
  • Upon program discontinuation
  • For business strategy changes
  • For regulatory compliance
  • At its discretion with 30 days notice
  • Immediately for serious violations
  • For suspected fraudulent activity
  • For reputational risk to platform
9.3 Effects of Termination

Upon termination:

  • Portal access revoked
  • Referral links deactivated
  • New referrals rejected
  • Pending earnings cancelled
  • Available earnings claimable for 30 days
  • Marketing materials access removed
  • Partner must cease representing platform
  • Confidentiality obligations continue
  • Platform data must be deleted
9.4 Survival

Following provisions survive termination:

  • Confidentiality obligations
  • Intellectual property rights
  • Payment terms for valid earnings
  • Dispute resolution terms
  • Liability limitations
  • Data protection requirements

10. Disclaimer and limitations

10.1 Portal availability
  • The Portal is provided "as is" and "as available"
  • Midcontract does not guarantee uninterrupted access
  • Maintenance and updates may cause temporary unavailability
10.2 Limitation of liability
  • Midcontract is not liable for technical issues affecting referral tracking
  • Partners acknowledge that referral relationships may not be captured in all cases
  • Midcontract's maximum liability is limited to direct damages

11. Privacy and data protection

11.1 Data Collection
  • Portal usage data is collected and processed
  • Referral tracking requires cookies and similar technologies
  • Data handling complies with Midcontract's Privacy Policy
11.2 Data access
  • Partners can access their referral data through the Portal
  • Historical data may be limited in availability
  • Export functionality may be restricted

12. Governing law and jurisdiction

These Partner Terms are governed by Estonian law. Disputes shall be resolved according to the Arbitration provisions in the main Midcontract Terms of Service.
